1.คำนิยาม

ในเงื่อนไขการใช้งานนี้ คำต่อไปนี้มีความหมายดังนี้:

• "YieldSteps" หมายถึง แพลตฟอร์ม SaaS สำหรับจัดการ Digital Batch Record และ Control Plan ในอุตสาหกรรมอาหาร
• "บริษัท" หมายถึง บริษัท จี ราฟฟิค แอส อะ เซอร์วิส จำกัด เลขทะเบียน 0105563018031
• "ผู้ใช้บริการ" หรือ "Tenant" หมายถึง นิติบุคคลหรือบุคคลที่ลงทะเบียนใช้งาน YieldSteps
• "ผู้ใช้งาน" หมายถึง พนักงานหรือบุคคลที่ผู้ใช้บริการอนุญาตให้เข้าใช้ระบบ
• "ข้อมูล" หมายถึง ข้อมูลทั้งหมดที่ผู้ใช้บริการนำเข้าสู่ระบบ YieldSteps
• "บริการ" หมายถึง ฟีเจอร์และความสามารถทั้งหมดของ YieldSteps ตามแผนที่สมัคร

2.การยอมรับเงื่อนไข

การสมัครใช้งาน เข้าสู่ระบบ หรือใช้บริการ YieldSteps ไม่ว่าในรูปแบบใด ถือว่าท่านได้อ่าน เข้าใจ และยอมรับเงื่อนไขการใช้งานนี้ทั้งหมดแล้ว

ผู้ใช้บริการที่เป็นนิติบุคคลรับรองว่าผู้ลงทะเบียนมีอำนาจกระทำการแทนนิติบุคคลนั้น

3.การให้บริการ

3.1 ขอบเขตบริการ

YieldSteps ให้บริการระบบจัดการ Digital Batch Record, Control Plan, QC Verification, Deviation Management, KPI Dashboard และ ERP Integration สำหรับอุตสาหกรรมการผลิตอาหาร

3.2 ระดับการให้บริการ (SLA)

• ระบบพร้อมใช้งาน (Uptime) ไม่น้อยกว่า 99% ต่อเดือน สำหรับแผน Professional และ Enterprise
• การบำรุงรักษาตามกำหนด (Scheduled Maintenance) จะแจ้งล่วงหน้าไม่น้อยกว่า 24 ชั่วโมง
• การสำรองข้อมูล (Backup) ทุกวัน เก็บไว้ 30 วัน

3.3 ช่วงทดลองใช้ (Trial Period)

ผู้ใช้บริการใหม่จะได้รับสิทธิ์ทดลองใช้งานฟรี 14 วัน โดยไม่มีการเรียกเก็บค่าบริการ บริษัทสงวนสิทธิ์ยุติช่วงทดลองโดยไม่แจ้งล่วงหน้าหากพบการละเมิดเงื่อนไข

4.การสมัครและบัญชีผู้ใช้

• ผู้ใช้บริการต้องให้ข้อมูลที่ถูกต้อง ครบถ้วน และเป็นปัจจุบันในการลงทะเบียน
• ผู้ใช้บริการรับผิดชอบต่อการรักษาความลับของรหัสผ่านและการกระทำใดๆ ที่เกิดขึ้นภายใต้บัญชี
• ห้ามแชร์บัญชีผู้ใช้กับบุคคลอื่นที่ไม่ได้รับอนุญาต
• แนะนำให้เปิดใช้งาน Two-Factor Authentication (MFA) เพื่อความปลอดภัย
• หากพบการเข้าถึงโดยไม่ได้รับอนุญาต ให้แจ้งบริษัทภายใน 24 ชั่วโมง

5.ค่าบริการและการชำระเงิน

5.1 ราคาและแผนบริการ

• Starter: 2,900 บาท/เดือน (รายปี 2,320 บาท/เดือน)
• Professional: 6,900 บาท/เดือน (รายปี 5,520 บาท/เดือน)
• Enterprise: 15,900 บาท/เดือน (รายปี 12,720 บาท/เดือน)

ราคาข้างต้นยังไม่รวม VAT 7%

5.2 การชำระเงิน

• รับชำระผ่านการโอนเงินธนาคาร (KBank 099-1-58934-1)
• กรุณาชำระภายใน 7 วันหลังได้รับใบแจ้งหนี้
• หากค้างชำระเกิน 7 วัน บริษัทมีสิทธิ์ระงับการใช้งานชั่วคราว
• หากค้างชำระเกิน 30 วัน บริษัทมีสิทธิ์ยกเลิกบัญชีและลบข้อมูล

5.3 การคืนเงิน

บริษัทไม่มีนโยบายคืนเงินสำหรับค่าบริการที่ชำระแล้ว ยกเว้นกรณีระบบล่มต่อเนื่องเกิน 72 ชั่วโมงติดต่อกัน โดยจะคืนเงินในสัดส่วนตามระยะเวลาที่ไม่สามารถใช้งานได้

6.ทรัพย์สินทางปัญญา

• ซอฟต์แวร์ รหัสโปรแกรม การออกแบบ เครื่องหมายการค้า และสื่อทั้งหมดของ YieldSteps เป็นทรัพย์สินของบริษัท
• ผู้ใช้บริการได้รับสิทธิ์ใช้งานแบบไม่ผูกขาด ไม่สามารถโอนสิทธิ์ได้ ตลอดระยะเวลาที่มีการสมัครใช้งาน
• ข้อมูลที่ผู้ใช้บริการนำเข้าสู่ระบบยังคงเป็นทรัพย์สินของผู้ใช้บริการ
• ห้ามทำวิศวกรรมย้อนกลับ (Reverse Engineering) คัดลอก หรือนำซอฟต์แวร์ไปใช้ในเชิงพาณิชย์

7.ข้อมูลและความเป็นส่วนตัว

• ข้อมูลของผู้ใช้บริการจัดเก็บบน Server ในประเทศสิงคโปร์ (Render Cloud, Singapore Region)
• มีการสำรองข้อมูลทุกวัน เก็บไว้ 30 วัน
• บริษัทจะไม่ขาย แบ่งปัน หรือเปิดเผยข้อมูลแก่บุคคลที่สามโดยไม่ได้รับความยินยอม ยกเว้นตามที่กฎหมายกำหนด
• เมื่อยกเลิกบริการ ข้อมูลจะถูกเก็บไว้ 3 ปี แล้วจึงลบถาวร

8.ข้อห้ามในการใช้งาน

ผู้ใช้บริการตกลงว่าจะไม่กระทำการดังต่อไปนี้:

• ใช้ระบบเพื่อกิจกรรมที่ผิดกฎหมาย
• พยายามเจาะระบบ ทดสอบช่องโหว่ หรือโจมตีระบบ
• อัพโหลดไวรัส มัลแวร์ หรือโค้ดอันตราย
• ใช้ระบบในลักษณะที่อาจทำให้ระบบทำงานผิดปกติหรือส่งผลกระทบต่อผู้ใช้รายอื่น
• สร้างบัญชีปลอมหรือให้ข้อมูลเท็จ
• นำข้อมูลของระบบไปใช้เพื่อแข่งขันกับบริษัท

9.การระงับและยกเลิกบริการ

9.1 การยกเลิกโดยผู้ใช้บริการ

ผู้ใช้บริการสามารถยกเลิกได้ทุกเมื่อ โดยแจ้งผ่าน hello@creativevaluation.com ล่วงหน้า 30 วัน บริการจะสิ้นสุดเมื่อครบรอบการชำระเงินถัดไป

9.2 การระงับโดยบริษัท

บริษัทมีสิทธิ์ระงับหรือยกเลิกบริการโดยไม่ต้องแจ้งล่วงหน้าในกรณี:

• ค้างชำระค่าบริการ
• ละเมิดเงื่อนไขการใช้งาน
• พบการใช้งานที่ผิดกฎหมายหรือเป็นภัยต่อระบบ

9.3 การส่งคืนข้อมูล

ภายใน 30 วันหลังยกเลิก บริษัทจะจัดเตรียมไฟล์ Export ข้อมูลให้ผู้ใช้บริการในรูปแบบ CSV หากร้องขอ

10.การจำกัดความรับผิด

• บริษัทไม่รับผิดชอบต่อความเสียหายที่เกิดจากการใช้งานหรือไม่สามารถใช้งานระบบได้
• ความรับผิดสูงสุดของบริษัทจำกัดอยู่ที่ค่าบริการที่ผู้ใช้บริการชำระในช่วง 3 เดือนที่ผ่านมา
• บริษัทไม่รับผิดชอบต่อความสูญเสียข้อมูลที่เกิดจากการกระทำของผู้ใช้บริการเอง
• บริษัทไม่รับประกันว่าระบบจะทำงานได้อย่างต่อเนื่องและปราศจากข้อผิดพลาด

11.การรักษาความปลอดภัย

• ระบบใช้การเข้ารหัส HTTPS/TLS สำหรับการรับส่งข้อมูลทั้งหมด
• รหัสผ่านถูกเข้ารหัสด้วย bcrypt (Cost Factor 12) ก่อนจัดเก็บ
• รองรับ Two-Factor Authentication (TOTP) ด้วย Google Authenticator
• มีระบบ Audit Log บันทึกการกระทำสำคัญทั้งหมด
• มีการจำกัดจำนวนครั้งในการ Login ผิดพลาด (Account Lockout)
• Token หมดอายุอัตโนมัติภายใน 15 นาที (Access Token) และ 7 วัน (Refresh Token)

12.กฎหมายที่ใช้บังคับ

เงื่อนไขการใช้งานนี้อยู่ภายใต้กฎหมายไทย ข้อพิพาทใดๆ ให้ระงับโดยการเจรจาก่อน หากไม่สำเร็จภายใน 30 วัน ให้นำเสนอต่อศาลที่มีเขตอำนาจในกรุงเทพมหานคร

13.การเปลี่ยนแปลงเงื่อนไข

บริษัทสงวนสิทธิ์แก้ไขเงื่อนไขการใช้งานได้ทุกเมื่อ โดยจะแจ้งผ่านอีเมลล่วงหน้าไม่น้อยกว่า 30 วัน การใช้งานต่อเนื่องหลังจากวันที่มีผลถือว่ายอมรับเงื่อนไขใหม่

14.ติดต่อเรา

1.Definitions

• "YieldSteps" means the SaaS platform for Digital Batch Record and Control Plan management in food manufacturing.
• "Company" means G Raphic As A Service Co., Ltd., registration number 0105563018031.
• "Customer" or "Tenant" means the legal entity or individual registered to use YieldSteps.
• "User" means any employee or person authorized by the Customer to access the system.
• "Data" means all information uploaded or entered into YieldSteps by the Customer.
• "Services" means all features and capabilities of YieldSteps under the subscribed plan.

2.Acceptance of Terms

By registering, logging in, or using YieldSteps in any manner, you confirm that you have read, understood, and agree to be bound by these Terms of Service.

If you are registering on behalf of a legal entity, you represent that you have the authority to bind that entity to these terms.

3.Services

3.1 Scope

YieldSteps provides Digital Batch Record management, Control Plan, QC Verification, Deviation Management, KPI Dashboard, and ERP Integration for food manufacturing industries.

3.2 Service Level Agreement (SLA)

• System uptime of at least 99% per month for Professional and Enterprise plans.
• Scheduled maintenance will be notified at least 24 hours in advance.
• Daily backups retained for 30 days.

3.3 Trial Period

New customers receive a free 14-day trial with no charge. The Company reserves the right to terminate the trial without notice if a violation of these terms is detected.

4.Account Registration

• Customers must provide accurate, complete, and up-to-date information during registration.
• Customers are responsible for maintaining the confidentiality of passwords and all activities under their accounts.
• Sharing account credentials with unauthorized persons is prohibited.
• Two-Factor Authentication (MFA) is strongly recommended.
• Unauthorized access must be reported to the Company within 24 hours.

5.Fees and Payment

5.1 Pricing

• Starter: THB 2,900/month (Annual: THB 2,320/month)
• Professional: THB 6,900/month (Annual: THB 5,520/month)
• Enterprise: THB 15,900/month (Annual: THB 12,720/month)

All prices are exclusive of 7% VAT.

5.2 Payment

• Payment via bank transfer (KBank 099-1-58934-1) within 7 days of invoice.
• Services may be suspended after 7 days of non-payment.
• Accounts may be terminated after 30 days of non-payment.

5.3 Refunds

No refunds are issued for fees already paid, except in cases of continuous system downtime exceeding 72 hours, in which case a pro-rated refund will be provided.

6.Intellectual Property

• All software, code, design, trademarks, and content of YieldSteps are owned by the Company.
• Customers receive a non-exclusive, non-transferable license to use the Services during the subscription period.
• Data uploaded by Customers remains the property of the Customer.
• Reverse engineering, copying, or commercial use of the software is strictly prohibited.

7.Data and Privacy

• Customer data is stored on servers in Singapore (Render Cloud, Singapore Region).
• Daily backups are retained for 30 days.
• The Company will not sell, share, or disclose data to third parties without consent, except as required by law.
• Upon termination, data is retained for 3 years, then permanently deleted.

8.Prohibited Uses

Customers agree not to:

• Use the system for illegal activities.
• Attempt to breach, penetration test, or attack the system.
• Upload viruses, malware, or harmful code.
• Use the system in a way that disrupts service for other users.
• Create fake accounts or provide false information.
• Use system data to compete with the Company.

9.Suspension and Termination

9.1 Cancellation by Customer

Customers may cancel at any time by notifying hello@creativevaluation.com at least 30 days in advance. Services will end at the next billing cycle.

9.2 Suspension by Company

The Company may suspend or terminate services without notice in cases of:

• Outstanding payment
• Violation of these Terms
• Illegal use or system threat

9.3 Data Export

Within 30 days of termination, the Company will provide a CSV data export upon request.

10.Limitation of Liability

• The Company is not liable for damages resulting from use or inability to use the system.
• Maximum liability is limited to fees paid by the Customer in the preceding 3 months.
• The Company is not responsible for data loss caused by Customer actions.
• The Company does not warrant uninterrupted or error-free operation.

11.Security

• All data transmission is encrypted via HTTPS/TLS.
• Passwords are hashed using bcrypt (Cost Factor 12).
• Two-Factor Authentication (TOTP) via Google Authenticator is supported.
• Comprehensive Audit Logs record all significant actions.
• Account lockout after repeated failed login attempts.
• Access Tokens expire in 15 minutes; Refresh Tokens in 7 days.

12.Governing Law

These Terms are governed by the laws of Thailand. Disputes shall first be resolved through negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of Bangkok.

13.Changes to Terms

The Company reserves the right to modify these Terms at any time with at least 30 days' notice via email. Continued use after the effective date constitutes acceptance of the updated Terms.
